ACRA
The Accounting and Corporate Regulatory Authority — Singapore’s national regulator for business registration. Every Singapore company must be incorporated and filed with ACRA.
COMPASS Framework
The points-based scoring system the Ministry of Manpower (MOM) uses to assess Employment Pass applications, covering salary, qualifications, diversity, and local workforce support. See our full COMPASS guide →.
Corporate Secretary
A mandatory appointment for every Singapore company, responsible for ensuring statutory filings, meeting minutes, and compliance obligations are met. Must be appointed within six months of incorporation.
Employment Pass (EP)
A Singapore work visa for foreign professionals, managers, and business owners earning above a set salary threshold, assessed under the COMPASS framework. See our full Employment Pass guide →.
Filing Agent
A professional or firm registered to file incorporation and compliance documents with ACRA on behalf of a company. NexusCorp operates as a registered filing agent.
IRAS
The Inland Revenue Authority of Singapore — the tax authority responsible for corporate tax filing and assessment.
Nominee Director
A Singapore-resident director appointed to satisfy the legal requirement that every company have at least one local director, typically used by founders who don’t reside in Singapore themselves. A nominee director holds statutory responsibilities but generally has no operational control over the business.
Pte Ltd (Private Limited Company)
The standard company structure for businesses in Singapore — a separate legal entity offering limited liability to its shareholders.
Registered Address
The official Singapore address a company must maintain for receiving legal correspondence and government notices. Cannot be a PO box.
